Terms of Service

1. Agreement to Terms

By downloading, installing, or using Navique ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legal agreement between you and Nerd Snipe Inc. ("we," "our," or "us").

2. Description of Service

Navique is a native macOS desktop application that serves as a developer productivity hub. It integrates with third-party services (including GitHub, Google Workspace, Bitbucket, Linear, Slack, and others) to provide a unified interface for managing your development workflow.

Navique runs locally on your Mac. All data, credentials, and connections to third-party services are managed on your device. We do not operate cloud infrastructure that stores or processes your application data.

3. License

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on macOS devices that you own or control, for your personal or internal business purposes.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove any proprietary notices or labels from the App
  • Use the App to develop a competing product or service
  • Sublicense or transfer your rights under this license to any third party

4. Free Trial and Payment

We may offer a free trial period. After the trial expires, a valid license purchase is required for continued use. License fees and terms are as described on our pricing page at the time of purchase.

All purchases are final. Refunds may be issued at our discretion on a case-by-case basis within 14 days of purchase if you experience a material defect that we are unable to resolve.

5. Third-Party Service Integrations

Navique enables you to connect to and interact with third-party services through their APIs. Your use of these services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.

You are solely responsible for:

  • Maintaining the security of your API keys, tokens, and credentials stored on your device
  • Complying with the terms of service of any third-party service you connect through Navique
  • Any actions taken through Navique on third-party platforms (creating issues, merging pull requests, sending messages, etc.)

6. Your Data and Privacy

All data within Navique — including credentials, project data, tasks, settings, and information retrieved from connected services — is stored locally on your device. We do not collect, store, or have access to your data.

You are responsible for backing up your local data. We are not liable for any data loss resulting from hardware failure, software issues, or any other cause.

7. Google API Services

Navique's use of Google API services complies with the Google API Services User Data Policy, including the Limited Use requirements. We do not use Google data for advertising, do not sell it to third parties, and do not store it on our servers. All Google data is processed locally on your device.

8. Intellectual Property

The App, including its design, code, features, documentation, and branding, is owned by Nerd Snipe Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the App beyond the limited license described above.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any information provided by the App or its AI-powered features.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NERD SNIPE INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Nerd Snipe Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your license to use the App at any time for any reason, including if you violate these Terms. Upon termination, you must cease all use of the App and destroy any copies in your possession.

Since all your data is stored locally, termination of your license does not affect your ability to access data already on your device through other means.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the App after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
